Steadyline Terms of Service
Effective date: October 22, 2026
These Terms are an agreement between Steadyline ("we," "us") and the business that buys our services ("Client," "you"). By using our services or https://steadyline.agency, you agree to these Terms.
1. Services
We set up and run done-for-you systems for service businesses. These can include:
- an AI receptionist built on Vapi;
- automated email and text follow-up;
- a CRM;
- lead capture forms;
- review requests;
- Google Calendar booking.
What you get depends on your plan and order.
2. Your responsibilities
- Consent: You must have the legal right and the consent needed to contact everyone we message or call for you. Transactional or informational texts (such as replies to a caller's own inquiry and appointment confirmations) may go to people who contacted your business. Marketing and review-request texts require the recipient's prior express written consent, captured by checkbox or keyword opt-in, and you must keep records of that consent. Every message must include an opt-out (STOP for texts), and opt-outs must be honored within 10 business days.
- TCPA and other laws: You are responsible for following the Telephone Consumer Protection Act (TCPA), CAN-SPAM, state call-recording and consent laws (California requires everyone on a call to agree to recording), and any other law that applies. You must tell callers when calls are recorded or handled by AI where the law requires it.
- Accurate information: You must give us accurate business details, hours, prices, and instructions.
- Accounts: You must keep your logins secure and tell us if one is misused.
- Acceptable use: You may not use our services for spam, unlawful messages, or harassment.
3. Fees and payment
- You pay the setup fee and the monthly fee for your plan, as shown in your order or on our pricing page.
- Monthly fees are billed in advance. Usage costs beyond your plan, such as extra call minutes or messages, may be billed as agreed.
- Fees are non-refundable unless the law requires a refund or we agree otherwise in writing.
- We may pause the services if a payment is more than 15 days late.
- We may change prices with 30 days' notice.
4. AI limitations and disclaimer
AI receptionists and automated tools can make mistakes. They may mishear callers, give incomplete answers, or book an appointment wrong. They are not for emergencies and are not a substitute for professional advice. You should review call logs and bookings.
The services are provided "as is" and "as available." We make no warranties, express or implied, including warranties of merchantability, fitness for a particular purpose, or uninterrupted service, to the fullest extent the law allows. Third-party providers, such as Vapi, Twilio, Google, Supabase, Railway, Resend, and Zoho, may have outages we do not control.
5. Data
Our Privacy Policy explains how we handle data. You own your customer data. You give us permission to use it only to provide the services.
6. Limitation of liability
To the fullest extent the law allows:
- We are not liable for indirect, incidental, special, consequential, or punitive damages, or for lost profits, revenue, or data.
- Our total liability for all claims is limited to the fees you paid us in the 3 months before the claim.
- These limits do not apply to your indemnity obligations in Section 7, your obligations under Section 2 (Consent and TCPA and other laws), or your payment obligations.
7. Indemnity
- By you. You will defend, indemnify, and hold us harmless against third-party claims that come from your messages or content, your lack of consent from recipients (including call-recording and texting consent), your breach of the TCPA or other laws, or your breach of these Terms.
- By us. We will defend, indemnify, and hold you harmless against third-party claims that come from our breach of these Terms, our violation of law in providing the services, or our gross negligence or willful misconduct.
- Process. The party seeking protection must promptly tell the other party about the claim, let it control the defense, and reasonably cooperate. Neither party may settle a claim in a way that admits fault for the other party without its consent.
8. Term and termination
- Plans run month to month unless your order says otherwise.
- Either side may cancel with 30 days' written notice.
- We may suspend or end the services right away if you break these Terms or the law.
- When the services end, you may ask for an export of your CRM data within 30 days. After that, we delete it as described in our Privacy Policy.
9. Governing law
These Terms are governed by the laws of the State of California. Any dispute will be handled in the state or federal courts in Los Angeles County, California.
10. Changes
We may update these Terms. For a material change, we will email you at least 30 days before it takes effect. If you do not agree, you may cancel before the change takes effect without any early-termination fee. Non-material changes, such as clarifications, take effect when posted with the new date at the top.
